Terms of Service

1. Who We Are

Labs Companies, Inc. ("Labs," "we," "us," or "our") is a Delaware corporation headquartered in Santa Monica, California — a frontier intelligences supercompany developing human-enhancement technologies across its 7 Frontier Labs and its Cluster, Corridor, and Care strata. These Terms of Service ("Terms") govern your access to and use of labscompanies.ai together with the other websites, applications, portals, programs, and AI-powered features that link to or reference these Terms (collectively, the "Services"). Certain Services are operated by Labs subsidiaries or affiliates (for example, Labs Studio Group, LLC and Labs Investor Group, LLC); references to "Labs" include those affiliates where they operate the applicable Service.

2. Acceptance of These Terms; Eligibility

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. Where a specific Service presents its own supplemental or product-specific terms (for example, an app end-user license, a program agreement, an investor-portal access agreement, or AI usage rules), those supplemental terms apply in addition to these Terms and control if they directly conflict for that Service.

You must be at least 13 years old to use the general Services. Some Services impose higher age or status requirements — for example, our credentialed investor portals require that you be at least 18 and, where applicable, a verified accredited investor; and our Labs Start and Labs Learn programs and certain applications require that you be at least 18. If you are between 13 and the age of majority in your jurisdiction, you may use age-appropriate consumer Services only with the involvement of a parent or legal guardian who agrees to these Terms.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

3. The Services & Our Ecosystem

The Services span several distinct surfaces. Some are purely informational; others are interactive applications, AI features, gated portals, or programs with their own additional terms. They include, without limitation:

• Public websites — labscompanies.ai and the marketing and informational sites for Labs and its labs, groups, and products.
• Consumer products — Yuhmmy and YuhmmyAI (the social-taste superapp and its taste-intelligence features, including STAMs and STAGs), Copious, and related experiences.
• AI services — Labsintelligence and LabsAI, including the LabsAI conversational assistant (available at app.labsintelligence.ai), the Chemí voice guide, YuhmmyAI, and related models, agents, and interfaces.
• Studio programs — Labs Start Studios (L2s) at labsstart.com and Labs Learn (2Ls) at labslearn.com, operated by Labs Studio Group.
• Investor surfaces — the credentialed portals operated by Labs Investor Group, including Labs Diligence (labsdiligence.com), Labs Memos (labsmemos.com), and the Labs Investors portal.
• Labsacquire — our acquisition-origination prototype and related informational tools.
• Frontier and platform labs — experimental and developmental surfaces such as LabsX, Labs Blocks, and Labs Crypto.
• Editorial and community surfaces — our newsroom, writings, press, culture, events, community, and careers pages.

We may add, change, suspend, or discontinue any Service or any feature of a Service at any time, with or without notice. Some Services are early, developmental, or offered as research previews, and may be modified or withdrawn. Availability of a Service does not create any obligation to continue offering it.

4. Accounts and Registration

Some Services let you or require you to create an account, receive an access credential, or submit an application (for example, Yuhmmy, the investor portals, Labs Start and Labs Learn applications, and careers submissions). You agree to provide accurate, current, and complete information; to keep it updated; and to keep your credentials confidential. You are responsible for all activity under your account or credential. Notify us promptly at info@labscompanies.com of any unauthorized use. We may suspend, restrict, or terminate accounts or credentials at our discretion, including for suspected violation of these Terms, for security reasons, or where required by law. Access credentials for gated Services are personal to you and may not be shared, sold, or transferred.

5. AI Services — LabsAI, YuhmmyAI & Chemí

Certain Services use artificial intelligence to generate text, audio, images, recommendations, or other outputs ("AI Features"), including LabsAI, YuhmmyAI, the Chemí voice guide, and related models and agents. Your use of AI Features is subject to this Section in addition to the rest of these Terms.

Nature of AI output. AI Features are probabilistic and experimental. Outputs may be inaccurate, incomplete, out of date, or offensive, and may not reflect Labs' views. Several AI Features are offered as research previews and "can make mistakes." Do not rely on AI output as a statement of fact or as professional advice, and independently verify anything important before acting on it. See Section 19.

Your inputs. You are responsible for the prompts, messages, voice recordings, images, documents, and other content you provide to AI Features ("Inputs"). You represent that you have the rights necessary to provide your Inputs and that they do not violate law or these Terms. Do not submit others' personal, confidential, or sensitive information, credentials, payment card data, or protected health information to AI Features. You grant Labs a worldwide, non-exclusive, royalty-free license to host, process, transmit, and use your Inputs and the resulting outputs ("Outputs") to operate, secure, and improve the Services, subject to our Privacy Policy.

Outputs. As between you and Labs, and to the extent permitted by law, Labs assigns to you its rights, if any, in Outputs generated for you, and you are responsible for your use of them. Outputs are not unique — other users may receive similar or identical outputs, and identical or similar content generated independently is not yours. We make no warranty that Outputs are accurate or that your use of Outputs will not infringe third-party rights.

Voice and audio. Voice-to-voice and audio AI Features (including YuhmmyAI and Chemí) process your microphone audio, and may process shared screens or images, to provide the feature. Do not use these features where recording or processing is prohibited, and do not capture other people without their consent.

Prohibited AI uses. You may not use AI Features to: violate law or third-party rights; generate or facilitate child sexual abuse material, unlawful sexual content, or content that sexualizes minors; harass, defame, or threaten; produce malware, spam, or fraud; impersonate any person or generate deceptive synthetic media of real individuals without disclosure and consent; provide medical, legal, financial, or other regulated advice to third parties as if authoritative; make automated decisions that produce legal or similarly significant effects on individuals; or attempt to extract, copy, reverse engineer, or train competing models from the AI Features or their outputs. We may throttle, filter, suspend, or terminate access to AI Features to enforce these rules or protect the Services.

6. Consumer Products — Yuhmmy & Copious

Our consumer products, including Yuhmmy and Copious, may let you create a profile, express taste and content preferences, post content, follow others, and interact socially. You are responsible for content you post and for your interactions. You agree to follow any community guidelines presented in the product and not to post content that is unlawful, infringing, hateful, harassing, sexually exploitative, or otherwise objectionable. We may moderate, remove, or restrict content and accounts at our discretion. Mobile applications are also subject to the terms of the platform or app store through which you obtain them; those platform terms are between you and the platform, and the platform is not responsible for the apps.

7. Labs Start & Labs Learn (Studio Programs)

Labs Studio Group operates Labs Start Studios (L2s) and Labs Learn (2Ls), including their applications, network sign-ups, and educational and entrepreneurial programs (for example, the Hatch, Launch, and Lift Start programs). Applying does not guarantee admission, selection, participation, funding, or any outcome. Selection is discretionary, and participation is governed by separate definitive agreements provided to selected participants, which control over marketing descriptions. Any references to founder investment structures — including the Labs EDGE Note (Equity Deferred Grant Exchange Agreement) — are descriptive and forward-looking only, are not offers or commitments, and are not investment, legal, or tax advice; see Sections 18 and 19. Materials you submit (including applications, videos, and supporting documents) are handled as described in Section 13 and the Privacy Policy, and are received on a non-confidential basis unless a separate written agreement provides otherwise.

8. Labsacquire

Labsacquire is an acquisition-origination prototype and related informational tools. It is provided for general information and experimentation only. Labs is not a broker, dealer, investment adviser, or M&A intermediary, and Labsacquire does not provide brokerage, valuation, investment, legal, accounting, or tax advice, and does not constitute an offer to sell or a solicitation of an offer to buy any business, security, or asset. Any information you submit through Labsacquire is received on a non-confidential basis unless a separate written agreement provides otherwise, and any transaction would be governed solely by separate definitive documents.

9. Credentialed Investor Portals

Labs Investor Group operates separate, access-restricted portals for verified investors, including Labs Diligence (labsdiligence.com), Labs Memos (labsmemos.com), and the Labs Investors portal (the "Portals"). Access is credentialed, personal, and furnished by Investor Relations, and may require verification of your identity and accredited-investor status (including know-your-customer and anti-money-laundering checks). Portal materials are confidential, are provided for your evaluation only, and may not be copied, forwarded, republished, or redistributed. Use of the Portals is subject to additional access and confidentiality terms presented within them. We may revoke access at any time. Nothing on the Services or the Portals constitutes an offer to sell or a solicitation of an offer to buy any securities. See Section 18.

10. Digital Assets & Blockchain

Some frontier and platform labs — including Labs Crypto and Labs Blocks — research and describe blockchain, digital-asset, wallet, and tokenization concepts. These descriptions are informational and forward-looking. Labs is not offering, selling, or soliciting the purchase of any digital asset, token, coin, or cryptocurrency through the Services, and nothing on the Services is an offer of, or advice regarding, any digital asset. References to concepts such as Cravecash, Cravecoins, Tastetokens, or Labscoin are descriptive of research and product concepts and do not represent an available investment or a promise of any future asset. Digital assets are volatile and risky; do not transact based on anything on the Services.

11. Purchases, Subscriptions & Payments

Certain Services may offer paid features, subscriptions, or purchases (for example, premium consumer tiers). Where they do, prices, billing terms, renewal, and cancellation will be presented at the point of sale, and payments are processed by third-party payment processors subject to their terms; we do not store full payment card numbers. Unless required by law or stated otherwise at purchase, fees are non-refundable, and subscriptions renew automatically until cancelled in the manner described at purchase or through the applicable app store. If you purchase through an app store, that store's billing, renewal, and refund rules also apply. Some paid features may not yet be active; this Section governs them if and when offered.

12. Intellectual Property; Trademarks; Limited License

The Services and all content, features, and functionality — including text, graphics, images, logos, designs, page layouts, models, and software — are owned by Labs or its licensors and are protected by copyright, trademark, patent, and other intellectual-property laws. "Labs," the Chemí test-tube emblem, "Yuhmmy," "YuhmmyAI," "Copious," "Labsintelligence," "LabsAI," "Chemí," "LavLabs," "LabsX," "Labs Blocks," "Labs Crypto," "Labs Realities," "Labsintuition," "Labs Investor Group," "Labs Diligence," "Labs Memos," "Labsacquire," "Labs Start," "Labs Learn," "Labs Financial," "Labs Realty," "Labs Media," "Labs Foundations," "STAMs," "STAGs," "Frontier Intelligences," and other Labs product, lab, and group names and logos are trademarks of Labs Companies, Inc. or its affiliates. You may not use them without our prior written permission.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, informational, and, where a Service is expressly offered for such use, internal business purposes, in each case in accordance with these Terms. No other rights are granted. You may not reproduce, distribute, modify, create derivative works of, publicly display, frame, mirror, or exploit any portion of the Services, or use the Services or their content to develop, train, or improve any machine-learning model or competing product, without our prior written consent.

13. User Content, Submissions & Feedback

The Services may allow you to submit information or content — for example, through contact forms, subscription sign-ups, investment-interest requests, applications, uploads, posts, or AI Inputs ("Submissions"). You represent that your Submissions are accurate and that you have the rights necessary to provide them. You grant Labs a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, use, reproduce, modify, and display your Submissions for the purposes for which they were provided and to operate, secure, and improve the Services, consistent with our Privacy Policy. Submissions do not create a confidential, fiduciary, or advisory relationship, and unsolicited ideas are received on a non-confidential basis.

Feedback. If you send us suggestions, ideas, or other feedback about the Services, you grant Labs a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without restriction or compensation.

14. Beta, Research Previews & Experimental Features

We may offer features, labs, or products that are labeled or reasonably understood to be beta, preview, research, developmental, or experimental. These are provided "as is," may be unstable or incomplete, may change or be discontinued, and may have additional or different terms. They are not guaranteed to be reliable, and you use them at your own risk.

15. Acceptable Use

You agree not to, and not to attempt to:

• access non-public areas of the Services, probe or test the vulnerability of our systems, or breach any security or authentication measure;
• scrape, harvest, or collect data from the Services by automated means, including to train machine-learning models, without our prior written consent;
• reverse engineer, decompile, or disassemble any portion of the Services, or attempt to extract source code, models, or model weights;
• interfere with or disrupt the Services, impose an unreasonable load, or transmit viruses, malware, or other harmful code;
• misrepresent your identity, age, affiliation, or status, including your status as an accredited investor;
• share, sell, or transfer access credentials, or circumvent gating, rate limits, or usage restrictions;
• upload content that is unlawful, infringing, defamatory, harassing, hateful, or sexually exploitative;
• use the Services in violation of any applicable law or regulation, including U.S. securities, export, sanctions, and privacy laws.

16. Copyright Complaints (DMCA)

We respect intellectual-property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act. If you believe content on the Services infringes your copyright, send a written notice to our designated agent at info@labscompanies.com (subject line "DMCA") that includes: your physical or electronic signature; identification of the copyrighted work; identification of the material claimed to infringe and its location; your contact information; a statement of good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act. We may remove allegedly infringing material and terminate repeat infringers.

17. Third-Party Services and Links

The Services may integrate with or link to third-party websites and services — including app stores, payment processors, identity- and accreditation-verification vendors, cloud and AI infrastructure providers, data platforms, social networks, and analytics providers — that we do not control. We are not responsible for their content, policies, or practices, and a link or integration does not imply endorsement. Your use of third-party services is at your own risk and subject to their terms.

18. No Offer of Securities; Forward-Looking Statements

The Services are provided for general informational purposes only. Nothing on the Services constitutes an offer to sell or a solicitation of an offer to buy any securities, fund interests, digital assets, or other investment products, nor investment, legal, accounting, or tax advice. Financial figures presented on the Services — including amounts raised and valuations — reflect historical, factual data based on closed financing rounds as of the dates indicated.

Any offering of securities conducted by Labs is made only in reliance on exemptions from registration under the Securities Act of 1933, including Regulation D Rule 506(c), solely to verified accredited investors, and only through definitive offering documents, which control over anything presented on the Services. References to future or contemplated vehicles, rounds, programs, or instruments — including those described on the investor portals, Labs Start, or elsewhere — are forward-looking, inherently uncertain, and subject to change; Labs assumes no obligation to update them. Past fundraising performance and prior valuations are not indicative of future results.

19. No Professional, Financial, Medical, or Dietary Advice

Content and outputs on the Services, including AI Outputs, are for general information only and are not professional advice. They are not investment, legal, accounting, or tax advice; not medical, health, nutritional, or dietary advice; and not a substitute for consultation with a qualified professional. Taste, food, and wellness content (including within Yuhmmy) is for general and entertainment purposes and does not account for allergies, medical conditions, or individual circumstances — always check ingredients and consult a professional where appropriate. You are solely responsible for decisions you make based on the Services.

20. Export Controls and Sanctions

You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You agree to comply with all applicable export-control and sanctions laws and not to use or export the Services in violation of them.

21. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL AI FEATURES AND OUTPUTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY INFORMATION OR OUTPUT ON THE SERVICES IS COMPLETE, RELIABLE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LABS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

23. Indemnification

You agree to defend, indemnify, and hold harmless Labs and its directors, officers, employees, affiliates, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your Submissions or Inputs, or your violation of these Terms or applicable law.

24. Dispute Resolution; Binding Arbitration; Class Waiver

Please read this section carefully — it affects your legal rights.

You and Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by JAMS in Los Angeles County, California, under its applicable rules, rather than in court, except that (a) either party may bring an individual claim in small-claims court, and (b) either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property. Judgment on the award may be entered in any court of competent jurisdiction.

Class waiver. You and Labs each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. Disputes will be arbitrated only on an individual basis.

Opt-out. You may opt out of this arbitration agreement by emailing info@labscompanies.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms.

25. Governing Law and Venue

These Terms and any dispute arising out of them are governed by the laws of the State of California, without regard to its conflict-of-laws principles. For any matter not subject to arbitration, you and Labs consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.

26. Termination

You may stop using the Services at any time. We may suspend or terminate your access to any or all of the Services at any time, with or without notice, including for violation of these Terms, to protect the Services or other users, or where required by law. Provisions that by their nature should survive termination — including intellectual-property, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions — survive.

27. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date and is effective when posted. For material changes, we will provide additional notice where appropriate. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

28. General

These Terms, together with the Privacy Policy and any additional terms presented within specific Services, features, programs, or Portals, are the entire agreement between you and Labs regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
