1. Who We Are

Labs Companies, Inc. ("Labs," "we," "us," or "our") is a Delaware corporation headquartered in Santa Monica, California — a frontier intelligences supercompany developing human-enhancement technologies. These Terms of Service ("Terms") govern your access to and use of labscompanies.ai and any other public websites, pages, and features that link to these Terms (collectively, the "Services").

2. Acceptance of These Terms; Eligibility

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. You must be at least 13 years old to use the Services. Certain areas — including our credentialed investor portals — impose additional eligibility requirements, including that you be at least 18 years old and, where applicable, an accredited investor.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

3. The Services

The Services are informational. They describe Labs, our frontier labs, our products and platforms, our newsroom and writings, and ways to contact us or subscribe to updates. We may change, suspend, or discontinue any part of the Services at any time, with or without notice.

4. Credentialed Investor Portals

Labs operates separate, access-restricted portals for verified investors, including LabsMemos.com and LabsDiligence.com (the "Portals"). Access to the Portals is credentialed and furnished by Investor Relations. Use of the Portals is subject to additional access terms, confidentiality obligations, and eligibility verification presented within the Portals. Nothing on the Services or the Portals constitutes an offer to sell or a solicitation of an offer to buy any securities. See Section 9 below.

5. Intellectual Property; Limited License

The Services and all content, features, and functionality — including text, graphics, images, logos, designs, page layouts, and software — are owned by Labs or its licensors and are protected by copyright, trademark, and other intellectual-property laws. "Labs," the Chemí test-tube emblem, "Yuhmmy," "Copious," "Labsintelligence," "LavLabs," and other Labs product and lab names are trademarks of Labs Companies, Inc. or its affiliates.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Services for personal, informational, and non-commercial purposes. No other rights are granted. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Services without our prior written consent.

6. Acceptable Use

You agree not to, and not to attempt to:

• access non-public areas of the Services, probe or test the vulnerability of our systems, or breach any security or authentication measure;
• scrape, harvest, or collect data from the Services by automated means, including for training machine-learning models, without our prior written consent;
• reverse engineer, decompile, or disassemble any portion of the Services;
• interfere with or disrupt the Services, including by transmitting viruses, malware, or any other harmful code;
• misrepresent your identity or affiliation, including your status as an accredited investor;
• use the Services in violation of any applicable law or regulation, including U.S. securities laws.

7. Submissions

The Services may allow you to submit information to us — for example, through contact forms, subscription sign-ups, investment-interest requests, or document uploads. You represent that your submissions are accurate and that you have the right to provide them. You grant Labs a non-exclusive, worldwide, royalty-free license to use your submissions for the purpose for which they were provided, including responding to you, evaluating investor eligibility, and operating the Services. Submissions do not create a confidential, fiduciary, or advisory relationship between you and Labs, and unsolicited ideas are received on a non-confidential basis.

8. Third-Party Services and Links

The Services may link to third-party websites and services — including data platforms, social networks, and cloud storage — that we do not control. We are not responsible for their content, policies, or practices, and a link does not imply endorsement. Your use of third-party services is at your own risk and subject to their terms.

9. No Offer of Securities; Forward-Looking Statements

The Services are provided for general informational purposes only. Nothing on the Services constitutes an offer to sell or a solicitation of an offer to buy any securities, nor investment, legal, accounting, or tax advice. Financial figures presented on the Services — including amounts raised and valuations — reflect historical, factual data based on closed financing rounds as of the dates indicated.

Any offering of securities conducted by Labs is made only in reliance on exemptions from registration under the Securities Act of 1933, including Regulation D Rule 506(c), solely to verified accredited investors, and only through definitive offering documents, which control over anything presented on the Services. Statements on the Services that are not historical facts are forward-looking, inherently uncertain, and subject to change; Labs assumes no obligation to update them. Past fundraising performance and prior valuations are not indicative of future results.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY INFORMATION ON THE SERVICES IS COMPLETE, RELIABLE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LABS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Labs and its directors, officers, employees, affiliates, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your submissions, or your violation of these Terms or applicable law.

13. Dispute Resolution; Binding Arbitration; Class Waiver

Please read this section carefully — it affects your legal rights.

You and Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by JAMS in Los Angeles County, California, under its applicable rules, rather than in court, except that (a) either party may bring an individual claim in small-claims court, and (b) either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property. Judgment on the award may be entered in any court of competent jurisdiction.

Class waiver. You and Labs each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. Disputes will be arbitrated only on an individual basis.

Opt-out. You may opt out of this arbitration agreement by emailing info@labscompanies.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms.

14. Governing Law and Venue

These Terms and any dispute arising out of them are governed by the laws of the State of California, without regard to its conflict-of-laws principles. For any matter not subject to arbitration, you and Labs consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date and is effective when posted. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

16. General

These Terms, together with the Privacy Policy and any additional terms presented within specific features or Portals, are the entire agreement between you and Labs regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
